Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Patien service operated by Defo Labs LTD ("we," "us," or "our"), a company registered in England and Wales with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom (trading as Patien). By creating an account or using Patien, you agree to these Terms.

1. Eligibility

You must be a licensed healthcare professional or authorized staff acting under the supervision of a licensed healthcare professional to use Patien. You must be at least 18 years old and capable of entering into a binding contract.

2. Description of service

Patien provides AI-powered clinical documentation assistance, including audio recording, transcription, and structured note generation. The service is intended to assist, not replace, clinical judgment. Notes generated by Patien must be reviewed, edited, and approved by the responsible clinician before use in any medical record.

3. Account responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@usepatien.com if you suspect unauthorized access.

4. Acceptable use

You agree not to:

• Use Patien for any unlawful purpose or in violation of applicable healthcare regulations
• Record conversations without obtaining appropriate patient consent as required by your jurisdiction
• Attempt to reverse engineer, decompile, or extract the underlying AI models
• Use Patien to generate notes without clinical review and approval
• Share account credentials with unauthorized individuals
• Transmit malicious code or interfere with service operation

5. Patient consent

You are solely responsible for obtaining all necessary patient consents for recording and processing visit audio in accordance with applicable law (including HIPAA, GDPR, and local wiretapping statutes). Patien provides sample consent language as a convenience; you must ensure it meets your legal requirements.

6. Subscription and billing

Patien is offered on a monthly subscription basis at the rate published on our pricing page. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

We reserve the right to modify pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.

7. Free trial

New accounts receive a 7-day free trial. No credit card is required to start a trial. At the end of the trial, access is suspended unless a payment method is added.

8. Intellectual property

You retain ownership of all notes and transcripts generated through your use of the service. You grant us a limited license to process your data solely for the purpose of delivering the service.

Patien and its underlying technology, including AI models, interfaces, and branding, are our exclusive property.

9. Disclaimer of warranties

Patien is provided "as is" without warranty of any kind. We do not warrant that AI-generated notes will be accurate, complete, or free of errors. Clinical documentation is ultimately the responsibility of the licensed clinician.

10. Limitation of liability

To the maximum extent permitted by law, our liability for any claim arising out of your use of the service is limited to the amount you paid us in the three months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.

11. Termination

We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time. Upon termination, your data is retained for 90 days and then permanently deleted.

12. Governing law

These Terms are governed by applicable law. Disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

13. Changes to Terms

We will notify you of material changes via email at least 14 days before they take effect. Continued use of the service constitutes acceptance of the revised Terms.
